GENERAL TERMS OF USE

 

Please read these “General Terms of Use” carefully before using the services of Cantina Sabauda. By using the services, you fully accept these General Terms of Use. Cantina Sabauda offers a wide range of services and, at times, you may be subject to additional terms and conditions. In the event of any conflict between these General Terms of Use and the Terms of Service, the Terms of Service shall prevail.

Electronic Communications

When you use Cantina Sabauda’s services, or send emails, text messages (SMS) and other communications from your computer or mobile device, you are communicating electronically. You may communicate in various ways, for example by email, text messages (SMS), or by posting messages and communications on the website or through other services. Subject to any mandatory provisions of law, for the purposes of this agreement, you accept that all contracts, notices, disclosures and other communications provided electronically satisfy any legal requirement of written form, where required by law.

 

Copyright and Rights

All content included in or made available through Cantina Sabauda’s services in the form of text, logos, images, audio files, digital downloads and videos is the property of the Regia Compagnia or its content suppliers and is protected by Italian and international copyright laws and database rights. You may not systematically extract and/or reuse parts of the Regia Compagnia Services without Cantina Sabauda’s express written consent. In particular, you may not use data mining, robots or similar data gathering or extraction tools to extract (whether once or many times) for reuse any substantial parts of any Cantina Sabauda Services without our express written consent. You may also not create and/or publish your own database that features substantial parts (e.g., prices and product listings) of the Cantina Sabauda Services without the express written consent of the Regia Compagnia.

 

Trademarks

The graphics, page headers, logos, scripts and service marks included in or made available through any Cantina Sabauda Service are trademarks or distinctive signs of the Regia Compagnia; they may not be used in connection with any product or service that is not the Regia Compagnia’s, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits the Regia Compagnia. All other trademarks not owned by Cantina Sabauda that appear in any Regia Compagnia Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Cantina Sabauda or the Regia Compagnia.

 

License and Access to Cantina Sabauda Services

Subject to your compliance with these General Terms of Use, the Terms of Service, and the payment of any applicable fees, the Regia Compagnia or its content providers grants you a limited, non-exclusive, non-transferable and non-sublicensable license to access and make personal use of Cantina Sabauda Services. This license does not include any resale or commercial use of any Cantina Sabauda Service or its contents; any collection and use of product listings, descriptions or prices; any derivative use of any Cantina Sabauda Service or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots or similar data gathering and extraction tools. All rights not expressly granted to you in these General Terms of Use or in the Terms of Service are reserved and retained by the Regia Compagnia or its licensors, suppliers, publishers, rights holders or other service providers. You may not reproduce, duplicate, copy, sell, resell, visit, or otherwise exploit any Cantina Sabauda Service, in whole or in part, for any commercial purpose without express written consent. You may not frame or use framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Cantina Sabauda without express written consent. You may not use any meta tags or any other “hidden text” using the name or trademarks of the Regia Compagnia without the express written consent of the Regia Compagnia. You may not misuse Cantina Sabauda Services. You may use the Regia Compagnia Services only as permitted by law. Any breach of these General Terms of Use or the Terms of Service will result in the revocation of the authorization or license granted by the Regia Compagnia.

 

Personal Account

You may be required to have a Cantina Sabauda account to use certain Cantina Sabauda Services and you may be required to be logged in and have a valid payment method associated with your account. If there is a problem charging your selected payment method, the Regia Compagnia may charge any other valid payment method associated with your account. By using Cantina Sabauda Services, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer and devices, and you agree, to the extent permitted by applicable law, to accept responsibility for all activities that occur under your account or password. You must take all necessary precautions to ensure that your password remains secure and confidential and must inform the Regia Compagnia immediately if you have reason to believe that your password has become known to someone else, or if the password is, or is likely to be, used in an unauthorized manner. You must ensure that the details you provide are correct and complete and you must inform us immediately of any changes to the information you have provided. You can access your information in the “My Account” section of the website. You may not use Cantina Sabauda Services in any way that causes, or is likely to cause, interruption, damage or impairment to the Cantina Sabauda Services and their functionality; for fraudulent purposes; to commit unlawful activities; or to cause annoyance, inconvenience or anxiety. The Regia Compagnia reserves the right to refuse service, terminate accounts, or remove or edit content where there is a justified reason to do so; in particular in the event of breach of applicable law, contractual provisions, guidelines or policies of the Regia Compagnia, all accessible on the Cantina Sabauda website. Notwithstanding such limitation or termination, you may continue to have access to content and services purchased up to that point.

 

Reviews, Comments, Communications and Other Content

You may post reviews, comments and other content, send communications and submit suggestions, ideas, comments, questions or other information, provided that the content is not unlawful (obscene, abusive, threatening, defamatory; that it does not violate privacy, intellectual property rights, or is otherwise offensive or objectionable toward the Regia Compagnia and/or third parties) and does not contain viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any form of spam. You may not use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of content. The Regia Compagnia reserves the right to remove or edit such content. By posting customer reviews, comments, customer questions or answers, you grant the Regia Compagnia a non-exclusive, royalty-free license to use, reproduce, publish, make available, translate and modify such content worldwide (including the right to sublicense to third parties) and the right to use the name submitted in connection with such content. Moral rights remain unaffected. You may delete content from public display or, where such functionality is provided, change settings so that content is displayed only to people to whom you grant access. By posting content in a Cantina Sabauda Service, you represent and warrant that you own or otherwise control all rights to the content you post and that it does not conflict with any applicable policies and guidelines of the Regia Compagnia and that such use will not cause harm to any third party. Except where liability may arise from a failure to remove unlawful content following receipt of notice, you agree to indemnify the Regia Compagnia from and against all legal actions brought by third parties against the Regia Compagnia arising out of or in connection with the content and materials you provide.

Intellectual Property Rights Infringement

If you believe that any content or sales listing published on the website or used within Cantina Sabauda Services contains a defamatory statement or that your intellectual property right has been infringed by an item or by information on the website or used within Cantina Sabauda Services, please contact us at info@cantinasabauda.com using the subject line “Intellectual Property Rights Notice”.

 

Liability

The Regia Compagnia will do its best to ensure that access to Cantina Sabauda Services is provided without interruption and that transmissions are error-free. However, due to the nature of the Internet, uninterrupted access and error-free transmissions cannot be guaranteed. Access to Cantina Sabauda Services may also be occasionally suspended or restricted to allow for repairs, maintenance and the introduction of new services. The Regia Compagnia will attempt to limit the frequency and duration of such suspension or restriction. The Regia Compagnia will not be liable for losses that are not caused by a breach of these General Terms of Use or for any business losses (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure) or any other indirect or consequential loss that was not reasonably foreseeable at the time you began using Cantina Sabauda Services. The Regia Compagnia will not be liable for any delay or failure to perform any obligations under these General Terms of Use where the delay or failure results from events outside the Regia Compagnia’s reasonable control (force majeure). This provision does not affect your statutory rights and, in particular, your right to receive goods purchased within a reasonable time or to receive a refund where goods are not delivered due to events outside our reasonable control (force majeure). The laws in some jurisdictions may not allow certain limitations of liability. If such laws apply, some or all of the above limitations may not apply to you and you may have additional rights. Nothing in these conditions limits or excludes our liability for death or personal injury caused by our negligence, or for fraud, willful misconduct or gross negligence.

 

Governing Law and Jurisdiction

These General Terms of Use are governed by and shall be interpreted in accordance with Italian law (excluding conflict-of-law rules). You agree, and we agree, to submit to the exclusive jurisdiction of the Courts of the district of the Court of Turin (Foro di Torino). Export Control

You agree not to export, re-export or transfer any product (including software or other digital products) purchased from Cantina Sabauda Services to any country, individual, company, organization or entity to which such export is restricted or prohibited by law. For example, economic sanctions and embargoes imposed by the European Union, the United Nations, the U.S. Departments of State, Treasury or Commerce, and other governmental authorities may prohibit carrying products, even for personal use, into other countries and/or sending products (whether physically by post or digitally by email or file sharing) to certain individuals, companies, organizations or entities. In addition, you agree not to purchase any product or service from the website if you are yourself subject to restrictive measures (sanctions).

 

Changes to Services or Amendments to Conditions

The Regia Compagnia reserves the right to make changes to Cantina Sabauda Services, policies, these General Terms of Use and the Terms of Service at any time to offer new products or services or to comply with legal and regulatory provisions. You will be subject to the policies and the General Terms of Use in force at the time you use Cantina Sabauda Services. If any provision of these conditions is deemed invalid, void or unenforceable for any reason, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.

 

Waiver

If you breach these General Terms of Use and the Regia Compagnia takes no action, the Regia Compagnia will still be entitled to use its rights and remedies in any other situation where you breach these General Terms of Use.

 

Minors

The Regia Compagnia does not sell products to minors. Minors under the age of 18 may use Cantina Sabauda Services only with the involvement of a parent or guardian.

GENERAL TERMS AND CONDITIONS OF SALE

These General Terms and Conditions of Sale govern the sale of products and, where applicable, services through the website when the Regia Compagnia acts as the seller (“General Terms and Conditions of Sale”). The Regia Compagnia offers a wide range of services and, at times, you may be subject to additional terms and conditions. By using any Cantina Sabauda service, you will be subject to the terms, guidelines and general conditions applicable to that particular service (“Terms of Service”). In the event of any conflict between these General Terms and Conditions of Sale and the Terms of Service, the Terms of Service shall prevail.

Please read these General Terms and Conditions of Sale carefully before making any purchase. By making any purchase, you fully accept these General Terms and Conditions of Sale. If the Customer is a consumer, once the online purchase procedure is completed, the Customer will print or save an electronic copy and in any case keep these general terms and conditions of sale, in compliance with Articles 3 and 4 of Legislative Decree 185/1999 on distance selling.

 

The Contract

To purchase one or more products, you may select them one at a time and add them to your cart. Once all items you intend to purchase have been selected, you may proceed to checkout and submit your order. You will then see a summary page of the selected products, their price and delivery options (with related costs). You will be asked to choose your preferred delivery/shipping solution and payment method.

Your order will then be considered as your contractual offer to purchase addressed to the Regia Compagnia for the listed products, each considered individually. Upon receipt of the order, Cantina Sabauda will automatically send you an order acknowledgement message. The order acknowledgement does not constitute acceptance of your offer to purchase. By sending the order acknowledgement, we only confirm that we have received your order and have submitted it to a data verification and product availability process. The sales contract with the Regia Compagnia will be concluded only when we send you a separate email containing shipment information and the expected delivery date. If the order is fulfilled through multiple shipments, you may receive separate shipment confirmations. You may cancel the order before receiving shipment confirmation, provided that the order has not been prepared for shipment. In such case, no charge will be applied.

You agree to receive invoices in electronic format; such documents will be forwarded in PDF format to the email address provided and will be available in the Italian tax drawer (“cassetto fiscale”). The issuance of the electronic invoice relating to an order will be communicated in the shipment confirmation. The sales contract between the Customer and Cantina Sabauda is deemed concluded in Italy and governed by Italian law. For the settlement of civil and criminal disputes arising from the conclusion of this distance sales contract, territorial jurisdiction lies exclusively with the Court of Turin (Foro di Torino). No liability may be attributed to the Regia Compagnia in the event of delays in processing the order or delivering the ordered goods. Any delivery and/or ancillary costs are borne by the customer and are clearly indicated during the ordering process. Payment for the goods will be made using the method chosen at the time of ordering. No additional amounts are due by the Customer beyond the total order amount shown at the end of the purchase procedure.

 

Right of Withdrawal, Exceptions and Returns Policy

Subject to the exceptions indicated below, you have the right to withdraw from the order placed, without providing any reason, within 14 working days from when the ordered product has been shipped and/or delivered (or the last product, lot or item in the case of goods, lots or items delivered separately) or from the conclusion of the contract.

In order to exercise the right of withdrawal, the relevant notice must be sent before the expiry of the 14 working-day period and the product must be returned to the registered office of the Regia Compagnia at Via Oropa 76, 10153 Turin. For more information on the right of withdrawal and operating instructions, contact Cantina Sabauda Customer Service. Each bottle has its own storage history and has been checked before being offered for sale by the Cantina Sabauda Team. For bottles we have stored for many years, however, it is not possible to guarantee that the wine is still perfectly preserved. Cantina Sabauda guarantees that the condition of the bottle is exactly as described and shown in the photograph on the product page. Any right of the Customer to damages or compensation is excluded, as is any contractual or non-contractual liability for direct or indirect damage to persons and/or property caused by the non-acceptance, even partial, of an order.

 

Effects of Exercising the Right of Withdrawal

We will refund all payments received in relation to the product for which the right of withdrawal has been exercised within 14 days of receiving such product. The refund will be made using the same payment method used to place the order, unless expressly agreed otherwise. In any case, you will not incur any fee as a result of such refund. You must return the products to the registered office of the Regia Compagnia within 14 working days from the day you communicated the withdrawal. You must bear the direct costs of returning the products. You may be held liable for any diminished value of the goods resulting from handling of the goods other than what is necessary to establish the nature, characteristics and functioning of the goods.

 

Exceptions to the Right of Withdrawal

The right of withdrawal does not apply in the case of:

• Supply of sealed goods which are not suitable for return due to health protection or hygiene reasons and that were unsealed after delivery, or supply of products that, after delivery, are inseparably mixed with other goods;

• Supply of goods made to the consumer’s specifications or clearly personalized;

• Supply of alcoholic beverages, the price of which was agreed at the time of conclusion of the sales contract, the delivery of which can take place only after thirty days and the actual value of which depends on market fluctuations beyond the control of the Regia Compagnia;

• Supply of goods which are liable to deteriorate or expire rapidly;

• Service contracts after full performance of the service by the Regia Compagnia, where you expressly consented to performance and acknowledged the loss of the right of withdrawal upon full performance.

 

Returns Policy

In addition to your statutory rights, products sold by Cantina Sabauda may be returned to the Regia Compagnia within 14 days of delivery, subject to the exceptions to the right of withdrawal, provided they are intact and in the same conditions as delivered. To return a product, write to us or call us. The Regia Compagnia will refund only the price paid for the purchase. We will not refund shipping costs paid to receive the item you are returning. Risks arising from transport and return costs are at your exclusive expense. These provisions are additional and do not prejudice your statutory rights, nor the right of withdrawal within 14 days described above.

 

Prices and Availability

All prices include VAT as applicable by law. Information on product availability is shown on the website and on each product page. Other than the information provided on such page or elsewhere on the website, the Regia Compagnia is unable to provide more precise indications regarding availability. Please note that estimated dispatch and delivery times are indicative only and should not be relied upon. Once we receive the order, we will notify you by email if any of the ordered products are unavailable. Despite our efforts, the Regia Compagnia cannot exclude that, for a small number of products, an incorrect price may be shown. Product prices are checked during the order verification process and subsequent shipment. If, due to errors or other issues, the price shown on the website is lower than the correct selling price of a product, the Customer will be contacted to verify whether they still wish to purchase the product at the correct price; alternatively, the Regia Compagnia may not accept the order. If the correct price of a product is lower than the one shown on the website, we will charge the lower correct price only and will ship the product anyway.

 

Customs

If goods ordered from Cantina Sabauda are delivered outside Italy, they may be subject to import duties and taxes, payable once the package reaches the specified destination. Any additional customs clearance costs will be borne by the customer. The Regia Compagnia has no control over these costs and cannot predict their amount. Customs policies vary considerably from country to country; you should contact your local customs office for further information. When placing orders on the website, you are considered the importer and must comply with all laws and regulations of the country in which you will receive the goods. Privacy is important to the Regia Compagnia; international customers and customers shipping abroad should be aware that cross-border deliveries may be opened and inspected by customs authorities.

 

Product Warranties and Limitation of Liability

A purchaser acting as a “consumer” benefits from the legal warranty of conformity that the seller must provide by law on every sold good (“Legal Warranty”). The Legal Warranty covers lack of conformity of the goods with the sales contract. Under the law, where applicable, you are entitled to have the goods brought into conformity free of charge by repair or replacement or, where not possible, to a reduction of the purchase price or to termination of the contract. The Regia Compagnia is liable for lack of conformity if it becomes apparent within one month from delivery of the goods. You are in any case required to notify the lack of conformity within the statutory term. If you discover a lack of conformity in goods purchased from the Regia Compagnia during the validity period of the Legal Warranty, please contact Cantina Sabauda

 

Customer Service

To the extent permitted by law, the Regia Compagnia declines any responsibility where the delivered product does not comply with the legislation of the delivery country other than Italy. The Regia Compagnia shall not be responsible for delays in delivery of purchased goods due to insufficient supplier stock. The Regia Compagnia shall not be responsible for non-material differences between purchased goods and their illustrative images and text descriptions published on the Cantina Sabauda website. Except in cases of willful misconduct or gross negligence, Cantina Sabauda is only responsible for any direct and foreseeable damage at the time the sales contract is concluded. The Regia Compagnia shall therefore not be liable for any losses suffered, loss of profit or any other damage that is not the immediate and direct consequence of our breach or that was not foreseeable at the time the sales contract was concluded.

All products sold by Cantina Sabauda are covered by the legal warranty of conformity provided by the Italian Consumer Code. The legal warranty is reserved for consumers and applies only to users who purchase for purposes unrelated to any professional, entrepreneurial or commercial activity they may carry out. For purchasers who are not consumers, the warranties for defects in the sold item, warranties for promised and essential qualities and other warranties under the Italian Civil Code shall apply, with the relevant terms, forfeitures and limitations.

 

Amendments to the General Terms and Conditions of Sale

The Regia Compagnia reserves the right to modify the website, policies and these General Terms and Conditions of Sale at any time to offer new products or services, or to comply with legal or regulatory provisions. The Customer will be subject to the policies and the General Terms and Conditions of Sale in force at the time products are ordered from Cantina Sabauda, unless changes are required by applicable law or by competent authorities. If any provision of these conditions is deemed invalid, void or unenforceable, such provision shall be severable and shall not affect the validity and enforceability of the remaining provisions.

As a consumer, you may also bring proceedings before the Court of Turin or the courts of the EU Member State in which you are resident or domiciled, to raise a dispute relating to these General Terms of Use.
